Terms of Service

These Terms of Service ("Terms") govern your use of services provided by Promptua ("we", "us", "our"), operating from Gurgaon, Haryana, India. By placing an order or using our services, you agree to these Terms.
1. Services
Promptua provides digital services including website development, bot development, custom web applications, e-commerce solutions, and API integrations. The specific deliverables, timeline, and price for each project are defined in the scope document agreed upon before work begins.
2. Payment Terms
- Advance Payment (50%): Due before work begins. Work commences only after successful payment confirmation via Razorpay.
- Final Payment (50%): Due before delivery of final project files. The client will be notified when the project is ready for review and payment.
- All prices are in Indian Rupees (INR) and exclude GST (18%), which is charged additionally.
- Payments are non-refundable except as described in our Refund Policy.
3. Project Scope and Changes
A written scope document is provided before work begins, outlining all features to be delivered. Any changes requested after scope approval may affect the timeline and/or price. We will always communicate and agree on any cost implications before implementing changes. We do not make changes that affect price without your prior written consent.
4. Delivery and Timelines
Estimated timelines are provided in good faith based on the project scope. Promptua is not liable for delays caused by client delays in providing required information, content, feedback, or approvals. Final delivery is made upon receipt of the final payment.
5. Client Responsibilities
- Provide accurate project details and content in a timely manner
- Respond to questions and requests for approval within 3 business days
- Ensure you have the legal right to use any content, logos, or assets provided
- Provide hosting credentials or domain access as required for deployment
6. Intellectual Property
Upon receipt of full payment, you own all rights to the deliverables created specifically for your project. Promptua retains the right to use general methodologies, frameworks, and tools developed independently. We may showcase the project in our portfolio unless you request otherwise in writing.
7. Post-Delivery Support
Free bug-fix support is provided for 7 days (Starter/Growth plans) or 14 days (Pro plan) after delivery. This covers bugs in the delivered code only — it does not cover feature additions, content changes, third-party service outages, or hosting issues. Optional monthly maintenance plans are available separately.
8. Third-Party Services
Projects may integrate with third-party services (Razorpay, Telegram, WhatsApp, Google APIs, OpenAI). Promptua is not liable for outages, policy changes, or cost increases by these third-party providers. Costs of third-party API usage are the client's responsibility unless explicitly included in the project scope.
9. Confidentiality
Both parties agree to treat each other's confidential business information with discretion. Promptua will not disclose your project details to third parties without your consent. NDA agreements can be signed on request at no additional charge.
10. Limitation of Liability
Promptua's total liability for any claim arising from our services shall not exceed the total amount paid for the specific project in question. We are not liable for indirect, consequential, or incidental damages including lost profits or data loss.
11. Governing Law
These Terms are governed by the laws of India. Any disputes shall be subject to the jurisdiction of the courts in Gurgaon, Haryana.
